Source codes escrow

Source codes escrow provided by deposit with a lawyer is carried on in order to grant confidence to licensee (user of SW) in cases like:

  • unwillingness of supplier (provider, licensor) to convey source codes to licensee (e.g. for doubt of misuse reasons)
  • unjustified rejection of service providing, maintainance, updating or upgrading SW.
  • death of computer programmer, company termination or supplier’s bankruptcy


The file medium with source codes is given to the other party in case of situations stated above. This procedure allows continuity of service and maintainance of  SW.

At the same time the source codes custody protects the supplier of SW from abusing the source codes by client (user) and is an ideal instrument to provide legal certainty for both contracting parties – supplier and client of SW.

The file medium with source codes is stored in save-deposits in bank’s institutions.
